General Service Agreements

1. Effective Date of Quotation

The quotation will be effective 10 business days as of date of issue and includes the aforementioned deliverables. Should the quotation not be accepted, we reserve the right to make price and/or concepts adjustments, as necessary.

2. Fees

DOWNPAYMENT

A downpayment of fifty percent is required to schedule the project in our working agenda. Please send receipt of downpayment to admin@marielamezquita.com.  Mira Mira Studio, S.A. will start working on the project when payment is reflected in our bank account balance.

 

SUBSEQUENT PAYMENTS

Subsequent payments may vary in percentage and frequency depending on Project requirements and extent. Once the project is finished and final payment has been reflected in bank account balance, Mira Mira Studio S.A. of C.V., will deliver all project materials that were selected to be included in the final proposal.

 


3. Service Timeframe

DURATION

Project duration is that provided for in the quotation and Project will be initiated after downpayment has been made. The Client is aware of the fact that Mira Mira Studio S.A. of C.V. and its employees are not under any obligation to submit the deliverables of the project before the agreed timeframe for completion has occurred, unless the Project is otherwise considered completed and final payment has been made.

 

DELAYS

Delays caused by The Client, its representatives or its suppliers resulting in time extensions may result in additional costs and will reflect in the final billing.

4. Creative Process Adjustments and Approach

ADJUSTMENT FORM

All projects include up to 2 rounds of adjustments on submitted design proposals. Adjustments will be requested through The Client’s Representative in charge of the Project via email within 5 business days after receiving the proposal. Mira Mira Studio S.A. de C.V. will not be responsible for changes requested by different individuals or through other means such as Whatsapp, iMessage, Direct Message, etc.

ADDITIONAL ADJUSTMENTS

Changes not requested within deadline or exceeding the 2 rounds of changes allowed will result in additional costs and reflect in the final billing. These include changes to texts, measurements, images and print formats, among others.

5. Cancellation Policy

Both Parties, Mira Mira Studio S.A. of C.V. and The Client, reserve their right to cancel the project for reasons of force majeure, irreconcilable differences, late deliveries or overdue payments. The Parties agree on notifying the other Party at least 7 days in advance. Should the Project be cancelled before it is started and notice be given at least 15 days in advance, The Client will be entitled to a full refund, less taxes. In the event the cancellation is requested after the Project has been started, reimbursement will be subject to the amount of work already executed.

6. Authorship

DELIVERY RIGHTS

Mira Mira Studio S.A. of C.V. transfers the full rights of the visual or linguistic material approved by The Client which formed part of the final delivery to the latter, therefore allowing the reproduction, disclosure, recording, and full use of such graphic elements. Mira Mira Studio, S.A. de C.V. will reserve the right to disclose materials that were delivered or created during the design process on websites, social media or print media so as to promote its designing services. Under no circumstances will projects or deliverables that were previously classified as confidential be disclosed, nor any personal or statistical information of The Client.

 

RIGHTS ON REJECTED PROPOSALS

Mira Mira S.A. of C.V. reserves copyrights and ownership, registration, reproduction and sale of any artwork created during the project process and not accepted by The Client. This is, Mira Mira, S.A. de C.V. reserves the rights to graphics that do not form part of the proposal presented and accepted by The Client.

7. Client Obligations

REGISTRATION

The Client will be responsible to register copyright materials delivered with its corresponding country authorities. Mira Mira Studio S.A. of C.V undertakes no responsibility for any moral, economic or legal repercussions that may arise due to The Client’s failure to register materials.

 

TYPOGRAPHIC LICENSES

It will be The Client’s responsibility to purchase the necessary typographical licenses for the Project. Typographic license prices range from approximately $500 to $5000 (Mx). Should The Client’s budget be limited, the design proposal may include royalty-free fonts or others to adjust to budget. Mira Mira Studio, S.A. de C.V. will not be responsible for any moral, economical or legal repercussions arising from The Client’s failure to purchase the typographic licenses.

 

 

8. Written Content and Proposal Information
CONTENT FORMAT

The Client agrees to provide in a timely manner all materials necessary for the development of the various aspects of the Project requested by Mira Mira Studio S.A. of C.V. and its representatives, such as Certificate of Tax Status, texts and written information, photographs, plans, production budget, substrates, samples and prototypes, among others.

 

MISSING OR UNTIMELY CONTENT

Should The Client not provide requested materials within service timeframe, Mira Mira Studio, S.A. de C.V. will work with placeholders such as royalty-free images and provisional text frames. In the event that the Project’s timeframe provided for be exceeded, The Project will be considered finalized. Should The Client provide missing content after the service has been finalized, a new quotation will be issued for every working day. This will include texts, measurements or images.

 

INACCURATE CONTENT

The Client agrees to revise all texts and materials during the service timeframe set forth and request any adjustment during the 2 rounds of changes provided for. Mira Mirs Studio, S.A. de C.V. will not be responsible for any moral or economic repercussion that may arise from inaccurate content, both digital or printed once the Project has been completed.

9.Packaging

SUBSTRATES

The Client will provide both measurements and/or samples of the packaging that will be used, such as bottles, jars, die cuts, and bags, among others. Production or custom packaging designs may be provided at an additional cost should The Client request these.

 

PRINTOUTS

The cost of print monitoring and management of the designed materials will be 10% of the total printing cost. Die-cuts will be provided for labeling, and The Client will be responsible for placing them on their final substrate. The aforementioned service is only available for national projects in the Mexican Republic.

10.Photography

ART BUDGET

A production estimate of 5% of the total fee is offered for the creation of a set design. Components exceeding this estimate requested and approved by The Client will have an extra charge. These may include Talent and Specialist fees, expenses, furniture and locations, among others. The Client agrees to provide product samples required for the session. 

 

 

11.Signage

CIVIL PROTECTION

The Client will be responsible for seeking advice from Civil Protection or corresponding agency where the project will be located so that designed signage is in line with legislation and regulations of the country or region. This may include concepts related to signage such as size, quantity, materials, shapes, captions, position, and mounting frequency.

 

PRELIMINARY PROJECT DESIGN CONTENT

Mira Mira will start work design on the signage project once there is some progress on the architectural project. Sites can be visited physically or virtually, or previewed through architectural renders indicating measurements and materials.

 

PRODUCTION AND ASSEMBLY

10% of the total production cost will be charged for production and assembly monitoring management. The aforementioned service is only available for national projects in the Mexican Republic.

12.Web Design

DOMAIN AND DIRECT DEBIT PAYMENTS

The Client agrees to instruct its bank to make direct debit payments from servers used to build a web page, such as Wix and GoDaddy. The Client agrees to connect to Google SEO so that it may appear on web browsers.

PRELIMINARY PROJECT DESIGN CONTENT

The web design project will start once there is at least a draft of the written content, either provided by The Client or included as part of the service. This also applies to the graphic, photographic and typographical content, unless otherwise provided for in the quotation.

13.Editorial Design

CALENDAR

The signage project will start once there is progress on the architectural project.

 

CHANGES

The Client agrees to review the texts and materials during the service period and point out any issues in the two rounds of changes, as changes requested after the design has been approved will cause an additional charge.

 

PRINTOUTS

The fee for print monitoring and management of the designed materials will be 10% of the total printing cost. The aforementioned service is only available for national projects in the Mexican Republic.
